TERMS OF USE

Welcome to Trios 1 LLC ("Trios 1", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of our insurance lead customer relationship management platform and associated services (collectively, the "Services"), including communication functionalities via phone, text (SMS/MMS), and email.

By accessing or using the Services, you ("User," "you," or "your") agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use our Services.

1. Eligibility

You must be at least 18 years of age and authorized to enter into legally binding agreements to use the Services. By using our platform, you represent and warrant that you meet these requirements.

2. Permitted Use

Trios 1 provides a CRM platform designed for insurance professionals to manage, track, and communicate with leads. You agree to:

• Use the platform only for lawful purposes and in accordance with these Terms;
• Ensure all communications made via the platform comply with applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and state-specific telemarketing laws;
• Obtain appropriate consents from leads before sending communications via phone, text, or email.

3. User Responsibilities

You are solely responsible for:

• The accuracy, legality, and integrity of all data you input or upload;
• Ensuring you have obtained proper consent from contacts before communicating with them;
• Complying with all applicable laws and regulations, including those governing insurance marketing, consumer privacy, and electronic communications;
• Monitoring and managing opt-outs or "Do Not Contact" requests from your leads.

4. Communications and Consent

Trios 1 enables you to communicate with leads through integrated channels:

a. Phone Calls

You agree to use the calling functionality in compliance with federal and state do-not-call (DNC) rules. You must honor all opt-out requests and refrain from using autodialers or prerecorded messages unless legally permissible.

b. Text Messaging (SMS/MMS)

By using our text features, you represent that each recipient has provided prior express written consent, as required by the TCPA. You must provide clear opt-out instructions (e.g., "Reply STOP to opt out") in all campaigns and honor all such requests immediately.

c. Email

You agree to comply with the CAN-SPAM Act, including using accurate headers and subject lines, identifying the message as an ad, including a valid physical address, and offering a clear and easy opt-out method.

Trios 1 may monitor or log communications to ensure compliance and improve Services.

5. Prohibited Activities

You may not:

• Use the Services for any illegal, abusive, or unethical activity;
• Impersonate any person or entity;
• Upload or distribute viruses, malware, or other harmful code;
• Attempt to bypass system restrictions, abuse APIs, or overload the system;
• Violate third-party rights, including intellectual property, privacy, or publicity rights.

6. Data Privacy and Security

Your data and your clients' data are important to us. While we implement reasonable security measures, you are responsible for protecting login credentials and account information. Trios 1 is not liable for unauthorized access resulting from your failure to secure your account.

7. Third-Party Integrations

Our Services may integrate with third-party platforms. We are not responsible for the terms, policies, or performance (of any nature including sales and fulfillment of purchased lead packages) of such third-party services. Your use of any third-party tool/service is governed by their respective terms.

8. Intellectual Property

All content, technology, and design within the Trios 1 platform are the property of Trios 1 LLC or its licensors. You may not duplicate, reverse engineer, or use any part of the platform outside its intended use without prior written permission.

9. Disclaimers

• The Services are provided "as is" and "as available."
• Trios 1 does not guarantee that use of the Services will generate specific results or leads.
• We make no warranties regarding the legality, deliverability, or effectiveness of communications sent through the platform.

10. Limitation of Liability

To the maximum extent permitted by law, Trios 1 LLC will not be liable for:

• Indirect, incidental, special, or consequential damages;
• Loss of revenue, data, or profits;
• Any damages arising from unauthorized access, errors in user input, or failures of third-party integrations.

Our total liability shall not exceed the fees paid by you for the Services in the previous six months.

11. Termination

We may suspend or terminate your access if you violate these Terms or use the Services in a way that risks harm to us, other users, or third parties. You may also terminate your account at any time.

Upon termination, all rights granted to you under these Terms will cease, and you must stop using the Services immediately.

12. Modifications to the Terms

Trios 1 reserves the right to modify these Terms at any time. Updated versions will be posted on our website with the revised "Last Updated" date. Continued use of the Services after changes constitutes your acceptance of the new Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law principles. Any dispute shall be resolved through binding arbitration or small claims court, unless otherwise agreed in writing.
